1定金是指合同当事人为确保合同的履行,依法律规定或双方约定,由当事人一方在合同订立时或订立后、履行前,预先给付对方的一定金钱或其他替代物。? 作为担保方式的一种,定金起到担保主合同的作用;? 作为违约责任的一种,当一方当事人不履行或履行不符合约定时,应承担定金;罚则的责任,适用双倍返还或丧失规则。2订金指一方先交付一笔现金给对方,以作为己方履约的担保。交付后,可能产生三种后果:? 双方均依约履行,订金返还给交付方或抵作交付方应付款项之一部分;? 交付方违约的,订金没收;? 收受方违约的,原价返还订金给对方。可见,订金的担保功能是单方的,仅对交付方适用,不对收受方适用,不受定金罚则之约束。3预付款是合同一方当事人预先支付给对方的一部分货款,目的在于帮助对方履行合同。? 预付款不适用双倍返还或丧失规则,并无惩罚性;? 预付款本身乃主合同标的的一部分,而定金乃是于主合同款项外支付的现金或其他替代物。
